1. SCOPE AND FORMAT OF SERVICES

1.1. The Client instructs, and the Consultant undertakes, for a fee, to provide consulting services related to obtaining visas and other migration documents, as well as related matters in the field of migration and tourism. The specific scope of services and the parameters of the order are determined by this Agreement and the Appendix to the Agreement.
1.2. For the purpose of performing the consulting assignment, the Consultant may appoint responsible persons authorized to communicate with the Client and participate in the provision of the services.
1.3. The services may be provided remotely. The Client agrees that the Consultant’s handling of the case shall be conducted in writing.

2. INTERACTION BETWEEN THE PARTIES

2.1. The Client shall comply with the requirements of applicable regulations, the rules of the relevant authorities, and the Consultant’s recommendations necessary for the proper performance of the consulting assignment.
2.2. If the person in respect of whose documents the service is provided (the “Applicant”) is not the Client, the Client confirms that the Applicant has been informed of the service order and agrees to the terms on which it is provided.
2.3. The Consultant shall provide the services within the timeframes and on the terms agreed by the Parties and shall inform the Client of circumstances that prevent performance of the assignment or may require a change in the subsequent course of work.
2.4. The Client/Applicant shall timely provide truthful and complete information and authentic originals or copies of documents required to perform the order.

3. PRICE, PAYMENTS AND ADDITIONAL EXPENSES

3.1. The cost of the consulting services is specified in the Appendix. The payment may consist of an Advance Payment and a Balance, as well as separate consular, visa, administrative, courier, insurance and other payments.
3.2. The Advance Payment in the amount specified in Clause 7.2.1 of the Appendix shall be made by the Client before the services commence.
3.3. Consular, service, visa, administrative, courier and insurance fees shall be paid by the Client independently or, upon the Client’s instruction, may be paid by the Consultant. The amount of such payments is determined by the relevant authority as of the payment date.
3.4. If the Appendix does not specify a particular date for payment of the Balance, it shall be paid after the Consultant notifies the Client that preparation of the service has been completed and before the documents are submitted for consideration. The amount of the Balance is specified in Clause 7.2.2 of the Appendix.
3.5. If the Appendix specifies a particular date for payment of the Balance, the Client shall make the payment no later than that date. In the event of non-payment, the Consultant’s work shall be suspended without refund of amounts already paid. If the Balance is not paid before the Agreement expires, the service shall be deemed provided and the work under the Agreement completed.
3.6. Administrative fees, translations, fees charged by visa centers and official state missions, postal and courier expenses, bank charges, notarial services, insurance policies and possible additional expenses are not included in the cost of the consulting services and shall be paid separately by the Client.
3.7. Within 3 business days after receiving the Consultant’s notice that the consulting services have been completed, the Client shall accept and pay for the services in full.

4. LIMITATION OF LIABILITY AND RISKS

4.1. The Client understands and agrees that any decision concerning the Client’s case is made exclusively by the competent authority. The authority may not disclose the actual reasons for its decision in the Client’s case.
4.2. Failure of the Client/Applicant to appear, or late arrival at the authority at the appointed time, resulting in the application not being submitted, shall not affect the obligation to pay for the service: the service shall be deemed provided in full. If additional work is required for a repeat submission, the Consultant shall determine the cost of such work, which shall be paid separately.
4.3. If the authority returns the documents without accepting them for consideration and requires revisions, the Consultant shall provide additional advice regarding such revisions. The mere fact that the documents have been returned does not constitute grounds for refunding the Client and does not indicate improper quality of the services, since each application is considered individually by the authority.
4.4. If, after the authority returns the documents for revision, the Client/Applicant fails to comply with the authority’s requirements, the service shall be deemed provided in full and shall be payable in full.
4.5. During the preparation of documents, communication with an embassy, consulate, visa center, migration authority or other competent authority, as well as during the provision of consulting services, additional information, recommendations, clarifications or requirements may be received, as a result of which the Consultant may recommend that the Client/Applicant change the method of submission, the type of visa, permit, residence permit, residence card or other migration document, or another parameter of the procedure initially selected.
Receipt of such information and a change in the recommended method or route of submission are circumstances that may arise in the course of providing the services and, by themselves, do not indicate improper provision of services by the Consultant and do not constitute grounds for a full or partial refund of amounts paid under the Agreement.
In such case, the Client/Applicant shall have the right to:
1. Continue with the originally selected method of submission, if such submission remains possible, taking into account the information received and the risks communicated by the Consultant;
2. Agree to a change in the method or route of submission. If such change requires a different or additional scope of services, their cost shall be determined separately by the Consultant, and further work shall be carried out after the Client/Applicant agrees to the relevant terms and, where necessary, makes an additional payment;
3. Decline further services.
The Client’s/Applicant’s refusal to continue the originally ordered service or to accept the proposed change in the method or route of submission constitutes the Client’s/Applicant’s decision to discontinue further receipt of services and does not constitute grounds for a full or partial refund of amounts paid or for recalculation of the service fee in proportion to the work actually performed.
4.6. The Consultant shall not be liable for missed deadlines or inability to perform the Agreement and shall not refund payments where the relevant circumstances arose through no fault of the Consultant, including due to force majeure: changes in Ukraine’s political relations with other states and related changes in visa policy; force majeure affecting embassies/consulates; changes in schedules for the production or delivery of international passports due to excessive workload at printing facilities; changes in regulations or excessive workload of public authorities; and other similar circumstances.
4.7. The Client/Applicant shall provide the Consultant with accurate information regarding family composition, previous visa refusals, visa history, entry bans, illegal border crossings, deportations, offenses, restrictions on leaving Ukraine, criminal convictions and any other information required for the proper provision of services. The Client/Applicant understands the possibility of refusal, cancellation of a visa/document, transfer of documents by the authority to law enforcement agencies and other irreversible consequences if the submitted certificates or documents are deemed insufficient or raise doubts as to their authenticity, or if the authority establishes that the document holder’s name appears in the SIS database or is associated with offenses. If, during an interview with the authority, the Client/Applicant makes mistakes, fails to answer questions or breaches the Consultant’s recommendations and this results in a refusal, the services shall be paid for in full, and the Consultant shall not be liable for the actions of the consulate or other public authorities.
4.8. The Client/Applicant bears the risk of expenses for airline tickets, accommodation, lost profits and other plans connected with the expected receipt of the document. To reduce such risks, the Consultant recommends choosing tickets and accommodation that allow date changes or refunds and planning meetings and events with possible delays in mind. The recommended submission period is at least 3 months before the planned event, unless the rules of the relevant authority provide otherwise.
4.9. The provision of services shall be deemed to have commenced from the moment the Client pays part or all of the service fee. If the Client subsequently decides to withdraw from the services, regardless of whether the documents have been submitted to the authority, the amounts paid shall not be refunded.
4.10. Decisions regarding issuance or refusal, the validity period of the document, processing time and the required document package are made by the relevant authority, which may change these parameters at its discretion during consideration.
4.11. Consular, visa, service, administrative and other payments made to the relevant authorities or third parties in the course of performing the order shall be refunded exclusively in the cases and according to the procedure provided by the rules of the relevant authority or person that received the payment. The Consultant shall not be liable for the decision of the relevant authority or third party to refund or not refund such payments.
4.12. If, after being notified that the services have been successfully provided, the Client delays acceptance of the services and payment of the Balance for more than 10 business days without a prior written agreement between the Parties, the Client shall pay the Consultant a penalty equal to 100% of the service fee specified in Clause 7.1 of the Appendix.
4.13. If the authority issues a visa for a shorter period than indicated in the application form, the Consultant’s service fee shall not be refunded and the service shall be deemed provided.
4.14. In the event of refusal to issue a visa or other document, the Consultant shall inform the Client/Applicant of the contents of the decision received and, based on the available information, may provide recommendations regarding possible further actions. The scope of such explanations shall be determined by the contents of the decision and the information provided by the relevant authority. The decision to issue or refuse a visa or other document is made exclusively by the relevant authority. The mere fact of refusal, including where the authority refers to insufficient documentary evidence of the purpose of travel, doubts as to the reliability of the information provided, insufficient substantiation or other circumstances stated in the decision, does not in itself indicate improper provision of services by the Consultant and does not constitute grounds for a full or partial refund of the service fee. The Consultant is not obliged to establish reasons for the decision that are not expressly stated by the relevant authority, obtain additional explanations from it, or guarantee that the reasons for refusal can be remedied. If the Client/Applicant decides to submit a new application, preparation and support of the new submission shall constitute a separate service and shall be paid for additionally in accordance with the terms agreed by the Parties. If the Client/Applicant declines a repeat submission, the service under this Agreement shall be deemed provided.
4.15. The Consultant may refuse further performance of the Agreement if the Client fails to follow recommendations concerning the provision of documents or information required for the services, provides false information, or delays delivery of the necessary materials to such an extent that performance of the service within the term of the Agreement becomes impossible.
4.16. The city in which documents are accepted, biometrics are submitted or an interview is conducted shall be determined individually by the relevant authority. If the Client/Applicant is unable or unwilling to comply with the authority’s rules and, as a result, performance of the order becomes impossible, the service shall be deemed provided.
4.17. If the terms of the ordered service provide that certain processing parameters are to be determined in the course of providing the service, the Client/Applicant shall agree the relevant parameters with the Consultant during performance of the Agreement. Such parameters may include, in particular, the country whose visa or other document the Client/Applicant is applying for, the type or category of document, the country and city of actual submission, the relevant authority, the date, time and method of submission, as well as other processing and submission parameters. After the Client/Applicant confirms the relevant parameter, the Consultant shall take further action based on the choice agreed by the Client/Applicant. If the Client/Applicant subsequently wishes to change any previously agreed parameter, such change shall be made only where technically and procedurally possible. Additional work and actions of the Consultant necessitated by the Client’s/Applicant’s change of previously agreed parameters are not included in the original service fee and shall be paid for separately by the Client. The scope and cost of such work shall be determined by the Consultant depending on the nature of the changes and communicated to the Client/Applicant before such work begins. Inability to make the changes requested by the Client/Applicant shall not constitute grounds for a full or partial refund of amounts paid for the service originally ordered.
4.18. The Consultant’s processing speed is specified in the Appendix. If priority or super-priority processing by the Consultant is ordered, the relevant period shall begin on the day following payment for such processing. If the Client/Applicant fails to provide the required documents or information, this period may be extended.
4.19. Possession of a visa is not an unconditional guarantee of entry into the relevant country: the final decision on crossing the border is made by the border authorities. The Client shall have no claims against the Consultant in connection with a visa refusal or refusal of entry at the border despite holding a visa.

5. TERM, COMPLETION AND LEGAL EFFECT OF AGREEMENTS

5.1.1. The Agreement shall be deemed concluded as a result of the Client’s acceptance of its terms. Payment by the Client of the full cost of the ordered services or any part thereof constitutes the Client’s full and unconditional agreement with the provisions of this Agreement and confirms that, before making the payment, the Client reviewed the contents of the Agreement and accepted its terms. A separate handwritten or electronic signature by the Client is not required to confirm conclusion of the Agreement and acceptance of its terms.
5.1.2. Payment under this Agreement may be made directly by the Client or by another person on the Client’s instruction, at the Client’s request, or in the Client’s interests. If payment is made by another person, such payment, together with the fact that the Client previously ordered the relevant services, provided information or documents required to perform the order, agreed to the terms of service, or took other actions confirming the Client’s intention to receive the services, constitutes evidence of the Client’s acceptance of the terms of this Agreement and of the conclusion of the Agreement. Payment by another person does not result in substitution of the Client identified in the Order Card. A payer who makes payment on behalf of the Client does not become the Client or Applicant under this Agreement and does not acquire a separate right to demand provision of the services, changes to the order, or a refund of the amounts paid by that payer, unless the Parties agree otherwise in writing.
5.2. The service shall be deemed provided in full upon the occurrence of any of the following: issuance by the relevant authority of the document in respect of which the services were provided; signing of an acceptance certificate; or occurrence of any of the circumstances specified in Clauses 4.2, 4.4, 4.6, 4.7, 4.9, 4.13, 4.14, 4.15, 4.16 or 5.3 of this Agreement.
5.3. Unless the service has been fully provided earlier, the Consultant’s obligations to the Client under this Agreement shall terminate 50 calendar days after the date on which the Agreement is concluded. The Client/Applicant shall provide the information, documents, responses and approvals required to perform the order and shall follow the Consultant’s recommendations within timeframes that allow the Consultant to perform the relevant scope of work during the term of the Agreement, taking into account the processing speed selected and paid for by the Client as specified in the Appendix. Provision by the Client/Applicant of documents, information, responses or approvals near the end of the term of the Agreement does not extend its term and does not oblige the Consultant to perform the work within a period shorter than the processing time applicable to the ordered service. If, due to the Client’s/Applicant’s late provision of documents, information, responses or approvals, or failure to take other necessary actions, it is impossible to complete the services within the term of the Agreement, upon expiry of that term the Consultant’s obligations to provide further services shall terminate, the service shall be deemed provided, and amounts paid under the Agreement shall not be subject to a full or partial refund or proportional recalculation. At the request of the Client/Applicant and with the Consultant’s consent, the service period may be extended. The terms, duration and cost of such extension shall be determined separately by the Consultant and agreed with the Client before further services commence. Extension of the term of the Agreement is not automatic.
5.4. The services shall be provided exclusively in respect of the Applicant(s) specified in the Appendix. Amounts paid under this Agreement may not be transferred or credited toward services for other persons.
5.5. Amendments or additions to the Agreement may be made by mutual consent of the Parties and shall be documented in a supplementary agreement.
5.6. After the Agreement has been concluded and accepted, prior correspondence by email, messenger or other communication channels shall not form part of the Agreement.
5.7. From the date this Agreement is concluded, all prior oral and written arrangements between the Parties concerning its terms shall cease to have effect.
